1. Introduction & Acceptance of Terms

Welcome to VibePM 2.0 ("we," "our," or "us"). These Terms & Conditions ("Terms") govern your use of the VibePM platform and services (the "Service"). By accessing or using VibePM, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

3. Service Delivery Terms

Subscription Activation

Upon successful payment, your subscription is activated immediately. You will gain instant access to all features and capabilities included in your selected subscription plan (Pro or Ultra) without any delays or exceptions.

Service Availability

  • Access is granted 24/7 upon subscription activation
  • All premium features become available immediately after payment confirmation
  • No manual activation or approval process is required
  • Your subscription period begins from the moment of successful payment

Payment Processing

Payments are processed securely through UniPay payment gateway. Upon successful transaction, you will receive:

  • Email confirmation of your subscription
  • Immediate access to premium features
  • Digital receipt for your records

4. Refund Policy

10-Day Refund Guarantee

We offer a 10-day refund guarantee for all subscription purchases. If you are not satisfied with the Service, you may request a full refund within 10 days of your initial purchase.

How to Request a Refund

  • Contact us at sandro.suladze@gmail.com within 10 days of your purchase
  • Include your account email and reason for the refund request
  • Refunds are processed within 5-10 business days
  • Funds are returned to the original payment method

Refund Conditions

  • Refund requests must be made within 10 days of the original purchase date
  • Renewal payments are not eligible for refunds
  • Upon refund, your subscription will be immediately cancelled and access to premium features revoked

5. User Accounts

Account Registration

  • You must register for an account using Google OAuth to access the Service
  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the confidentiality of your account credentials

Account Responsibilities

  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access or security breach
  • You may not share your account with others or create multiple accounts
  • You must be at least 13 years of age to use the Service

6. Use of the Service

Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

Acceptable Use

You agree not to use the Service to:

  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service's operation or other users' experience
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated systems or bots to access the Service without our permission
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Impersonate any person or entity or misrepresent your affiliation

7. Content and Intellectual Property

Your Content

You retain all ownership rights to the content you upload, store, or manage through your Google Drive integration with VibePM. We do not claim ownership of your content.

By using the Service, you grant us a limited license to access, process, and display your content solely for the purpose of providing the Service to you. This license ends when you delete your content or terminate your account.

VibePM's Intellectual Property

VibePM and its licensors own all rights, title, and interest in and to the Service, including all associated intellectual property rights. This includes but is not limited to:

  • The VibePM platform, user interface, and features
  • All logos, trademarks, and brand elements
  • Original content, documentation, and materials we provide
  • The underlying technology, software, and systems

8. Third-Party Services

VibePM integrates with various third-party services to provide functionality:

  • Google Drive: For file storage and document management
  • Google OAuth: For secure authentication
  • OpenAI/N8N: For AI-powered features and automation
  • Azure DevOps: For work item synchronization and sprint analytics
  • GitHub: For repository integration and code-to-documentation generation
  • UniPay: For secure payment processing

Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the practices, actions, or policies of these third parties. You acknowledge that:

  • Third-party services may have their own terms and limitations
  • We cannot guarantee the availability or functionality of third-party services
  • You are responsible for complying with third-party terms when using their services through VibePM

9. Termination

Termination by You

You may terminate your account at any time through your account settings. Upon termination, your right to access and use the Service will immediately cease.

Termination by VibePM

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

  • Violation of these Terms or any applicable laws
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Request by law enforcement or government agencies
  • Technical or security issues

Effect of Termination

Upon termination, we will make reasonable efforts to delete your data in accordance with our Privacy Policy. However, we may retain certain information as required by law or for legitimate business purposes.

10. Disclaimers and Limitation of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBEPM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • Statements or conduct of any third party on the Service
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or similar harmful code transmitted through the Service

In no event shall our aggregate liability exceed the amount you have paid us in the twelve (12) months prior to the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless VibePM and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, and settlements, including without limitation reasonable legal and accounting fees, resulting from or alleged to result from:

  • Your violation of these Terms
  • Your use or misuse of the Service
  • Your violation of any third-party rights
  • Your content or data uploaded to the Service
  • Any activity under your account (whether by you or others)

12. Changes to the Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Effective Date" at the top of this page
  • Notify you via email or through the Service for significant changes
  • Provide at least 30 days notice before significant changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

13. Governing Law and Disputes

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VibePM regarding the use of the Service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights under these Terms without restriction.
